These Terms of Service (“Terms”) govern your use of the Arain Strive website at arainstrive.com and your engagement of any services provided by Arain Strive (“we,” “us,” or “our”). By accessing our website or engaging our services, you agree to be bound by these Terms.
1. Services
Arain Strive provides digital marketing and web development services including but not limited to search engine optimization (SEO), WordPress development, Shopify development, Google Ads management, Meta Ads management, and graphic design.
The specific scope, deliverables, timeline, and pricing for each engagement are defined in a separate proposal or service agreement provided to you before work begins. These Terms apply in conjunction with that agreement.
2. Client Responsibilities
To enable us to deliver results effectively, you agree to:
- Provide accurate and complete information about your business, website, and goals
- Grant necessary access to your website, Google Search Console, Google Analytics, and ad accounts within 5 business days of project start
- Review and approve deliverables within the timelines specified in your service agreement
- Provide timely feedback and responses to our communication
- Ensure all content you provide to us does not infringe on third-party intellectual property rights
Delays caused by failure to fulfill these responsibilities may affect project timelines and do not constitute grounds for refund.
3. Payment Terms
SEO and ongoing services:
Payment is due on the 1st of each month for that month’s service. We accept payment via bank transfer, PayPal, Wise, and other methods agreed upon in writing. Services may be paused if payment is not received within 7 days of the due date.
One-time development projects:
A 50% deposit is required before work begins. The remaining 50% is due upon project completion before final files or login credentials are transferred.
Late payments:
Invoices unpaid after 14 days may incur a late fee of 5% per month on the outstanding balance. We reserve the right to pause or suspend services on accounts with outstanding balances.
4. Refund Policy
SEO services:
Due to the time and resources invested from day one, SEO retainers are non-refundable once work has begun for that billing period. You may cancel future months with 14 days written notice.
Development projects:
The 50% deposit is non-refundable once work has commenced. If you cancel a project midway, you will be invoiced for work completed to that point based on an hourly rate of $35/hour. If the total work completed exceeds the deposit, the additional amount is due before any files are transferred.
Google Ads and Meta Ads:
Management fees are non-refundable. Ad spend is paid directly to the ad platform and is subject to Google’s and Meta’s own refund policies.
5. Results and Performance
We apply industry best practices and genuine effort to every engagement. However, we do not guarantee specific rankings, traffic levels, lead volumes, or revenue outcomes from SEO or paid advertising services. Search engine algorithms change frequently and results depend on many factors outside our control including your website’s history, competition level, and industry.
Any projections or estimates provided in proposals are based on experience and available data and are not contractual guarantees.
6. Intellectual Property
Work we create for you:
Upon receipt of full payment, all deliverables created specifically for your project — including website designs, written content, and graphics — become your property.
Our tools and processes:
Our internal processes, methodologies, reporting templates, and proprietary systems remain the property of Arain Strive.
Third-party tools:
Some deliverables may incorporate third-party themes, plugins, or licensed assets. Your rights to these are governed by their respective licenses, which we will disclose to you.
7. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. We will not share your business data, performance metrics, or login credentials with any third party without your explicit written consent, except where required by law.
8. Communication and Availability
Our team is available Monday through Saturday, 10:00 AM – 7:00 PM EST. We aim to respond to all communications within 2 hours during active hours. We are not responsible for delays caused by messages sent outside of active hours, weekends, or public holidays.
Official project communication is conducted via email at hello@arainstrive.com. Communication via WhatsApp or other channels is supplementary and may not be treated as formal project instruction.
9. Account Access and Security
When you provide us with access to your website, ad accounts, or analytics, you are responsible for ensuring that access is granted securely. We recommend creating a separate user account for our team rather than sharing your primary admin credentials.
We will never ask for your personal banking passwords or any information beyond what is necessary to perform the agreed services.
10. Termination
By you:
You may terminate ongoing services with 14 days written notice sent to hello@arainstrive.com. You remain responsible for payment for any work completed during the notice period.
By us:
We reserve the right to terminate a service agreement with 14 days notice if a client engages in abusive communication, requests work that violates our policies, or fails to meet payment obligations after reasonable notice.
Upon termination, we will deliver all completed work product and transfer any accounts or assets that belong to you within 5 business days.
11. Limitation of Liability
To the fullest extent permitted by law, Arain Strive shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of our services or website, including but not limited to loss of revenue, loss of data, or business interruption.
Our total liability for any claim arising from our services shall not exceed the total amount paid by you to Arain Strive in the 3 months preceding the claim.
12. Governing Law
These Terms are governed by the laws of Pakistan. Any disputes shall first be attempted to be resolved through good faith negotiation. If resolution cannot be reached, disputes shall be submitted to binding arbitration before being taken to formal legal proceedings.
For US-based clients, we acknowledge and respect US consumer protection standards and will work in good faith to resolve any disputes fairly.
13. Changes to These Terms
We may update these Terms from time to time. The updated version will be posted at arainstrive.com/terms/ with an updated date. Continued use of our services after changes constitutes acceptance of the revised Terms.
